Vendor Agreement

Effective Date: June 2026

This Vendor Agreement governs participation as a vendor, seller, creator, contributor, or related marketplace participant within the Tacticool Art platform.

By applying, registering, listing products, publishing content, participating in marketplace activity, or otherwise operating as a vendor, you acknowledge and agree to this Vendor Agreement.


Marketplace Participation

Tacticool Art operates as a hybrid curated marketplace.

Vendor participation may be subject to application review, seller approval, marketplace moderation, licensing compliance, operational requirements, quality standards, integrity review, or related platform considerations.

Vendor approval is not guaranteed.


Vendor Eligibility

Vendors must possess the legal authority, rights, permissions, and eligibility required to distribute applicable products through the marketplace.

By participating as a vendor, you represent that your activity complies with applicable laws, licensing requirements, intellectual property rules, and marketplace standards.


Originality & Rights Representation

By submitting products to Tacticool Art, vendors represent and warrant that submitted products are original, authorized, or otherwise legally eligible for marketplace distribution.

Vendors represent that they possess the necessary rights, permissions, or lawful authority required to distribute submitted products through the marketplace licensing framework.

Vendors remain responsible for product legality, originality, licensing eligibility, rights status, and applicable creator obligations.


Platform Licensing Framework

Tacticool Art operates under a platform-managed licensing framework.

Vendors select applicable product categories or license models, while the platform administers the corresponding buyer-facing licensing structure.

Marketplace licensing may include:

  • Commercial License
  • Exclusive Commercial License
  • Ownership Transfer Requests
  • Related Licensing Mechanisms

By participating as a vendor, sellers authorize Tacticool Art to apply, administer, display, and operate the applicable marketplace licensing structure for listed products.


Vendor Ownership

Unless ownership transfer has been formally completed through an approved process, vendors retain ownership of their original submitted artwork.

Marketplace participation does not automatically transfer vendor ownership to buyers, the platform, or third parties except according to the applicable licensing framework or approved written agreement.


Product Listings & Information

Vendors are responsible for maintaining accurate product information, descriptions, licensing selections, pricing, product content, and listing representations.

Tacticool Art may review, moderate, restrict, suspend, remove, modify, or reject listings where reasonably necessary.


Exclusive Listings

Exclusive products carry elevated marketplace obligations.

By listing a product as Exclusive, vendors represent and warrant that the product:

  • has not previously been sold as Exclusive to another party;
  • is not knowingly subject to conflicting Exclusive rights;
  • is not simultaneously offered under conflicting Exclusive availability elsewhere;
  • will not be duplicated, relicensed, privately resold, or transferred in violation of the applicable Exclusive licensing framework.

Exclusive Integrity Obligations

Vendors acknowledge that buyer trust is especially important in Exclusive licensing transactions.

Suspected duplicate Exclusive sales, unauthorized relicensing, outside-platform conflicts, misrepresentation of exclusivity, or related integrity concerns may be investigated by Tacticool Art.

Vendors may be asked to cooperate with applicable review, clarification, verification, or investigation procedures.


Ownership Transfer Participation

Where eligible ownership transfer requests arise, vendors may be invited to participate in review, negotiation, approval handling, or agreement preparation procedures.

Ownership transfer participation does not automatically require acceptance, approval, or transfer completion.


Vendor Conduct Standards

Vendors are expected to maintain professional marketplace conduct.

Vendors must not:

  • upload infringing, unauthorized, unlawful, deceptive, or fraudulent products;
  • misrepresent originality, ownership, licensing status, or exclusivity;
  • abuse marketplace systems or platform functionality;
  • engage in unlawful, harmful, deceptive, abusive, or improper conduct affecting the marketplace.

Payouts & Financial Handling

Marketplace payouts, seller earnings, transaction handling, withdrawal eligibility, payment processing, or related financial functionality may be subject to operational requirements, platform procedures, security review, fraud prevention, dispute handling, licensing concerns, marketplace integrity review, or related administrative considerations.

Tacticool Art may review, restrict, delay, freeze, suspend, or otherwise administer applicable payout handling where reasonably necessary.


Marketplace Review & Enforcement

Tacticool Art reserves the right to review seller activity, marketplace participation, product listings, licensing compliance, originality concerns, integrity matters, operational risks, or related marketplace considerations.

Where reasonably necessary, platform action may include:

  • Listing Review or Removal
  • Product Restriction
  • Payout Review or Freeze
  • Withdrawal Restriction
  • Seller Restriction
  • Loss of Exclusive Selling Privileges
  • Account Suspension
  • Permanent Marketplace Removal Eligibility

Platform Authority

Tacticool Art reserves the right to administer marketplace operations, licensing handling, integrity review, moderation, enforcement, investigation procedures, vendor participation, and related marketplace decisions.

Platform determinations may consider available evidence, marketplace records, transaction history, licensing status, investigation findings, operational considerations, and reasonable administrative judgment.


Limitation of Liability

To the maximum extent permitted by applicable law, Tacticool Art shall not be liable for indirect, consequential, reputational, operational, commercial, or comparable losses arising from marketplace participation, seller activity, licensing disputes, transaction handling, operational interruptions, third-party conduct, or related matters.


Termination & Suspension

Tacticool Art may suspend, restrict, terminate, moderate, review, or otherwise administer vendor participation, seller access, listings, payouts, marketplace privileges, or related functionality where reasonably necessary.

This may include situations involving integrity violations, fraud concerns, licensing issues, marketplace abuse, security risks, operational concerns, or serious policy breaches.

This Vendor Agreement should be read together with:
